Terms of Service

Multiworks is exit-readiness software and a service. We help business owners organize the documents, numbers, and answers a buyer asks for, and we assemble them into sale materials — a one-pager, an offering memorandum, and a data room — that can be shared with brokers and prospective buyers.

Multiworks is not a business broker, investment bank, law firm, or accounting firm, and nothing in the service is legal, tax, financial, or investment advice. We do not effect, negotiate, or close the sale of any business. Any sale is between you, your advisors, your broker, and your buyer. Have your own professionals review any material or agreement before you rely on it.

You are responsible for what you upload and for its accuracy. You keep ownership of everything you upload. You grant us the limited license needed to store, process, and present it inside the service — including processing documents with AI systems to extract figures and draft materials — solely to provide the service to you.

Extracted figures, answers, and drafted narrative are prepared with automated tools and reviewed by people, but they can contain errors and are provided as-is. Buyers and their advisors are responsible for their own diligence. You are responsible for confirming any material before it is shared on your behalf.

Materials are shared only through access links created at your direction or the direction of your deal team. Anyone who receives a link agrees to use the materials solely to evaluate the transaction and to keep them confidential. Non-disclosure and letter-of-intent agreements recorded in the service are between the parties named in them; Multiworks is not a party to them.

Don’t misuse the service: no unlawful content, no uploading data you don’t have the right to share, no attempting to access another party’s materials, and no interfering with the service. We may suspend access that puts other users’ data at risk.

Fees, if any, are as agreed in your engagement with Multiworks. The engagement letter governs where it conflicts with these terms.

You can end your engagement at any time and ask us to delete your data; we delete uploaded documents, extracted data, and access links, subject to what the law requires us to keep. We may keep aggregate, de-identified records of service use.

To the maximum extent permitted by law, the service is provided as-is, we disclaim implied warranties, and our total liability for any claim relating to the service is limited to the fees you paid us in the twelve months before the claim. We are not liable for indirect, incidental, or consequential damages, or for the outcome of any transaction.

We may update these terms; material changes will be posted here with a new effective date. These terms are governed by California law. Questions: garkilic@gmail.com.
